Because we are active in merger & acquisition representations,
SBRI appraisals move beyond IRS approved valuation methods and include
current market data to more accurately reflect a true fair market
value.
Southbridge
performs business valuations for divestiture, ESOP, estate planning,
tax planning, business planning (employee transactions-shareholder
buyouts – other) / financing, stock acquisition, and other
processes to include litigation. The Company also performs independent
appraisals of fair market value for acquisition entities. SBRI appraisals
are performed by a certified appraiser.
As a potential buyer or seller of a company accurate value information
is needed before making a serious and expensive commitment to buy
or sell a business.
Southbridge performs the following business valuation processes
in an appraisal:
- An analysis of the business and its operations, products or
services offered, current industry position
- A spreadsheet recast of the last three years profit and loss
statements to discretionary cash flow or EBITDA for better understanding
of available funds and potential allocation in an acquisition
approach
- Recast of current balance sheet to reflect fair market value
of assets
Usage of six to eight IRS approved valuation methodologies plus
current market comparisons for a more accurate fair market value
- Develop a detailed valuation report that includes:
Complete company summary and overview – industry information
– financial history – business forecast – recast
profit & loss and balance sheet – valuation and support
of value
